1. Agreement
These Terms of Service (“Terms”) form a binding agreement between you and Eventfull Limited (“Eventfull,” “we,” “us”). By creating an account, joining our waitlist, or otherwise using the Eventfull website at eventfull.me or the Eventfull mobile application (collectively, the “Service”), you accept these Terms and our Privacy Policy and Acceptable Use Policy.
If you do not agree, do not use the Service.
2. Eligibility
You must be at least 16 years old (18 in Singapore for any payment features) and able to form a binding contract under the law of your jurisdiction. If you use the Service on behalf of a community, club, or company, you represent that you have authority to bind that organisation to these Terms.
3. Your account
- You are responsible for safeguarding your login credentials and for all activity that occurs under your account.
- You must provide accurate registration information and keep it current.
- You may close your account at any time from in-app settings or by emailing admin@eventfull.me.
- We may suspend or terminate accounts that violate these Terms or our Acceptable Use Policy, with or without notice where the breach is material or unlawful.
4. Your content
“Your Content” means events, RSVPs, messages, photos, comments, dietary notes, and any other material you submit through the Service.
- You retain ownership of Your Content.
- You grant Eventfull a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transmit, and display Your Content solely to operate the Service, support and improve it, and comply with the law. This licence ends when you delete the content, except for residual backups retained for a reasonable period and copies others have already received as part of an event.
- You represent that Your Content does not violate any third party’s rights and complies with our Acceptable Use Policy.
- We may remove content that we reasonably believe violates these Terms or applicable law.
5. Payments (disclaimer)
Payments through Eventfull — including event ticketing, split-the-bill, and partner contributions — are facilitated by third-party processors: Stripe, PayMe by HSBC (Hong Kong), and PayNow (Singapore). You authorise the relevant processor to charge or transfer the amount you confirm.
- We are not a bank or money services operator. Eventfull does not hold customer funds beyond the time needed to settle the transaction. Funds clear through regulated processors.
- Refund eligibility depends on the event organizer’s published policy and the processor’s rules. Eventfull is not responsible for an organizer’s refund decisions.
- Service fees, processing fees, FX, and applicable taxes will be disclosed at checkout.
- Chargebacks, fraud disputes, and recoveries follow the processor’s scheme rules.
6. Vendor marketplace (disclaimer)
From Phase 2 onwards, Eventfull will operate a vendor marketplace listing third-party caterers, venues, photographers, and other event suppliers (each a “Vendor”).
- Eventfull is a venue, not a party, to transactions between you and Vendors. The contract for any service or product is between you and the Vendor directly.
- Vendor listings, ratings, and descriptions are provided by Vendors. We do not warrant their accuracy, quality, legality, or fitness for any purpose.
- We do not endorse any Vendor and are not liable for Vendor performance, no-shows, defective goods, or any dispute arising between you and a Vendor — except where liability cannot be excluded under applicable law.
- Where we facilitate a payment to a Vendor, the payment terms in §5 apply.
7. App Store distribution (Apple EULA precedence)
If you download the Eventfull iOS application from the Apple App Store, the following terms apply in addition to these Terms. In the event of any conflict between these Terms and Apple’s Licensed Application End User License Agreement (“Apple EULA”), the Apple EULA shall prevail with respect to your use of the iOS application.
- These Terms are between you and Eventfull only — not Apple. Apple is not responsible for the iOS application or its content.
- Apple has no obligation to provide maintenance or support for the iOS application.
- In the event the iOS application fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). Apple has no other warranty obligation whatsoever.
- Eventfull, not Apple, is responsible for addressing any claims relating to the iOS application, including product liability, legal compliance, and intellectual property infringement claims.
- Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to the iOS application, and upon your acceptance, Apple has the right (and is deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
Equivalent provisions apply for distribution via the Google Play Store under Google’s applicable terms.
8. Acceptable use
Your use of the Service is governed by our Acceptable Use Policy, which is incorporated by reference. Violations may result in content removal, account suspension, or termination.
9. Our intellectual property
The Service — including the Eventfull name, logo, brand stamp, design system, software, and aggregated content — is owned by Eventfull or our licensors and protected by applicable IP laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service for personal, non-commercial use (or internal community/business use, where you have a paid subscription).
10. Third-party services
The Service may link to or integrate with third-party services (e.g. calendar providers, payment processors, mapping providers). Your use of those services is governed by their terms; we are not responsible for them.
11. Warranty disclaimer
To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.
12. Limitation of liability
To the maximum extent permitted by law:
- Eventfull will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill.
- Our aggregate liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) HK$1,000.
- Nothing in these Terms excludes liability that cannot be excluded under applicable consumer protection law (e.g. the Hong Kong Control of Exemption Clauses Ordinance (Cap. 71) or the Singapore Consumer Protection (Fair Trading) Act).
13. Indemnity
You agree to indemnify and hold harmless Eventfull and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Service, (b) Your Content, or (c) your violation of these Terms or applicable law.
14. Termination
We may suspend or terminate your access if you breach these Terms or if we are required to do so by law. You may stop using the Service at any time. Sections that by their nature should survive termination (including §§ 4, 9, 11–13, 15) will survive.
15. Governing law and dispute resolution
15.1 Governing law
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of the Hong Kong Special Administrative Region of the People’s Republic of China, without regard to its conflict-of-laws rules.
15.2 Informal resolution first
Before filing any claim, you agree to first contact us at legal@eventfull.me and attempt in good faith to resolve the dispute informally within 30 days.
15.3 Arbitration (HKIAC)
Any unresolved dispute, controversy, or claim arising out of or relating to these Terms — including its existence, validity, interpretation, performance, breach, or termination — shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration is Hong Kong, the language is English, and the tribunal shall consist of one arbitrator.
15.4 Consumers
Where you are a consumer, nothing in this section deprives you of mandatory consumer rights you have under the laws of your country of habitual residence, including the right to bring proceedings in your local courts.
15.5 No class actions
To the extent permitted by law, claims will be resolved on an individual basis and not as a class, collective, or representative action.
16. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will give you reasonable notice (e.g. at least 14 days’ email notice to active users) before it takes effect. Continued use of the Service after the effective date constitutes acceptance.
17. Miscellaneous
- Entire agreement: these Terms, together with the Privacy Policy and Acceptable Use Policy, are the entire agreement between you and Eventfull regarding the Service.
- Severability: if any provision is held unenforceable, the remainder remains in effect.
- No waiver: our failure to enforce a right is not a waiver of it.
- Assignment: you may not assign these Terms without our consent; we may assign them in the context of a corporate reorganisation, merger, or sale.
